PIE Coach — soccer performance and injury-prevention guidance

Liability Waiver

PIE Liability Waiver, Release, and Assumption of Risk Version 1.0 — October 1, 2026

Entity: PIE Sport Technologies Inc., a California corporation ("PIE," "we," "us," or "our")

This document is incorporated by reference into, and forms part of, the PIE Terms of Service. By creating an account, accessing, or using PIE, you ("User," "you," or "Coach") acknowledge that you have read, understood, and agree to be bound by this Waiver.

1. Nature of the Service

PIE is a software tool that generates sports practice plans and injury-prevention guidance based on information you provide, including grouped age ranges, sex, competition level, and general symptom or context indicators. PIE does not:

Provide medical advice, diagnosis, or treatment;

Replace the judgment of a qualified athletic trainer, physician, physical therapist, or other licensed medical or sports-medicine professional;

Guarantee that any athlete will avoid injury by following PIE's guidance; Evaluate any individual athlete in person or review their full medical history.

PIE's output is informational and decision-support in nature. You remain solely responsible for all coaching decisions, practice planning, and player safety determinations made using PIE.

2. Assumption of Risk

Athletic activity carries inherent risks of injury, including serious injury, regardless of the precautions taken. You acknowledge that:

You understand these inherent risks and voluntarily choose to use PIE's guidance in your coaching activities;

PIE's recommendations are generated from general, non-individualized inputs and may not account for factors specific to any athlete (undisclosed medical conditions, prior injuries, individual physiology, etc.);

You are in the best position — not PIE — to determine whether guidance is appropriate for a specific athlete or situation, and you retain full discretion to modify, override, or disregard any PIE output.

3. Release and Waiver of Liability

To the fullest extent permitted by California law, you release, waive, discharge, and covenant not to sue PIE, its officers, directors, employees, contractors, and affiliates (the "Released Parties") from any and all liability, claims, demands, or causes of action arising out of or related to:

Any injury, harm, or loss sustained by any athlete, coach, or third party in connection with the use of, or reliance on, PIE's guidance;

Any error, omission, or inaccuracy in PIE's output;

Any decision made or action taken based on PIE's recommendations.

This release does not apply to, and nothing in this Waiver limits liability for, gross negligence, willful misconduct, or violations of law by the Released Parties, to the extent such liability cannot be waived under California Civil Code and applicable case law.

4. Indemnification

You agree to indemnify, defend, and hold harmless the Released Parties from any third party claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or related to:

Your use of PIE;

Your breach of this Waiver or the Terms of Service;

Any injury to an athlete or third party arising from your coaching activities, regardless of whether PIE's guidance was involved.

5. No Warranty

PIE is provided "AS IS" and "AS AVAILABLE," without warranties of any kind, express or implied, including but not limited to warranties of accuracy, merchantability, fitness for a particular purpose, or non-infringement. PIE does not warrant that its guidance is complete, current, or free of error.

6. Limitation of Liability

To the maximum extent permitted by law, in no event shall the Released Parties be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to damages for personal injury, arising from or related to your use of PIE, even if advised of the possibility of such damages. PIE's total aggregate liability arising out of or related to your use of the service shall not exceed the greater of (a) the amount you paid PIE in the twelve (12) months preceding the claim, or (b) one hundred dollars ($100).

7. Acknowledgment

You represent that you are at least 18 years of age, are entering into this Waiver voluntarily, and have had the opportunity to review it in full before accepting. You acknowledge this Waiver affects your legal rights, including the right to sue, and you agree to its terms as a condition of using PIE.

8. Governing Law and Venue

This Waiver is governed by the laws of the State of California, without regard to conflict of-law principles. Any dispute arising under this Waiver shall be resolved exclusively in the state or federal courts located in San Diego County, California.

9. Severability

If any provision of this Waiver is found unenforceable, the remaining provisions remain in full force and effect, and the unenforceable provision shall be modified to the minimum extent necessary to make it enforceable.

10. Electronic Acceptance

By checking the acceptance box or otherwise creating a PIE account, you provide a legally binding electronic signature and affirmatively agree to this Waiver in its entirety.
